Non-Disclosure & Catalog Confidentiality Agreement (NDA)

1. Definition of Confidential Information

"Confidential Information" encompasses all non-public commercial, technical, and operational information disclosed by the client to FLEX SHOP LTD, whether orally or in writing, including:

• Wholesale Supplier & Factory Data: Manufacturer identities, invoice prices, purchase orders, and landed unit costs.
• Proprietary Margin Formulas: Target ROI percentages, cost-of-goods-sold calculations, and dynamic repricing boundaries.
• Unreleased Product Catalogs: CAD renderings, prototypes, upcoming SKU expansions, and seasonal marketing schedules.
• Seller Account Credentials & Tokens: Delegated user permissions, API auth tokens, developer keys, and advertising expenditure figures.

2. Obligations of Non-Disclosure & Non-Use

FLEX SHOP LTD covenants and agrees that:

• We shall hold all Confidential Information in strictest confidence, using at least the same degree of care as we utilize for our own confidential assets (and in no case less than reasonable care).
• We will not disclose, duplicate, distribute, or reverse-engineer any client product data to any third party, competitor, or outside entity without prior written authorization.
• We shall strictly restrict access to confidential data solely to assigned account specialists and QA supervisors who have executed binding employment NDAs.
• Under no circumstances will FLEX SHOP LTD or its contractors sell, launch, or compete with products directly derived from client supplier sheets.

3. Data Security & Storage Protocol

All client catalogs and spreadsheets are stored within encrypted cloud environments protected by multi-factor authentication (MFA) and strict role-based access control. No data is stored on unencrypted local drives or personal mobile devices.

4. Return or Destruction of Materials

Upon termination of services or written request by the client, FLEX SHOP LTD shall promptly return or permanently destroy (in accordance with certified digital sanitization practices) all copies of confidential catalog documents, supplier lists, and access tokens in our possession.

5. Perpetual Confidentiality & Governing Law

The obligations of confidentiality set forth in this Agreement shall survive the termination or expiration of our commercial engagement indefinitely. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the English courts.
